Here’s how the general meeting of the Kulmbach Building Cooperative went.

The Chairman of the Supervisor Board, Gerhard Götz, welcomed a total of 76 voting members to the regular general meeting of the Kulmbach Building Cooperative in the Kulmbach City Hall. Board member Silke Eber presented the Board's report for the 2023 financial year. Board member Udo Petzoldt provided insights into the development of BG's subsidiary companies. The general meeting of the BG resolved to carry forward the net profit of 1,026,882.03 euros to the new calendar year. In 2024, a dividend of 1.5% will again be paid out to the members. The Board of Directors and the Supervisory Board were discharged from liability by the general meeting for the past financial year.

After the official agenda, members were honored for their rental anniversaries.

Revised Articles of Association entered in the Register of Cooperatives

The amendments to our Articles of Association were adopted by the representatives at the representatives' meeting on 27.06.2022 and will also enter into force upon entry in the register of cooperatives on 19.10.2022.

51st Representatives’ Meeting in the town hall of Kulmbach on June 27th, 2022

Neuer TextOn June 27th, 2022, the 51st Ordinary Assembly of Representatives of the Kulmbach and Surroundings Building Cooperative took place in the Kulmbach town hall. The chairman of the supervisory board, Gerhard Götz, welcomed the 28 representatives, the gentlemen of the supervisory board and the two board members of the BG Udo Petzoldt and Silke Eber.


The board member of the BG, Silke Eber, reported on the 2021 financial year. Afterwards, board member Udo Petzoldt reported on the development of the subsidiaries of the building cooperative. The Chairman of the Supervisory Board, Gerhard Götz, also reported on the work of the Supervisory Board over the past year.


A dividend payment of 1.5% to the members of the BG was resolved in the financial year. The two board members and the seven members of the supervisory board were discharged by the assembly of representatives for their work in the past year. The meeting also approved an amendment to the articles of association, the number of supervisory board mandates was reduced to seven members and the amount of attendance fees for audit committees was also decided.


The meeting concluded with an open discussion with the representatives.


Representatives' meeting on July 26th, 2021 in the town hall in Kulmbach

On July 26th, 2021 the 50th ordinary meeting of representatives of the building cooperative Kulmbach und Umgebung eG took place. This time the event took place in the Kulmbach town hall, so all hygiene measures that were necessary due to the corona pandemic could be observed. The chairman of the supervisory board, Gerhard Götz, welcomed the 33 representatives, the three representatives of the auditing association VdW Bayern, association president Hans Maier, board member and legal advisor Dr. Stefan Roth, auditor Michael Sparn and the two board members of BG Udo Petzoldt and Silke Eber.


The board of directors of the BG, Udo Petzoldt, initially reported on the year 2019 and later on the year 2020. The meeting in 2020 could not take place due to Corona. The chairman of the supervisory board, Gerhard Götz, also submitted a report on the work of the supervisory board and commented on the disputes between parts of the old supervisory board and the management board.


A dividend payment of 1.5% to the members of the BG was resolved in the 2019 and 2020 financial years. Before the meeting, the supervisory board member Dietmar Hofmann announced his resignation from the supervisory board. Another item on the agenda was the voting out of Inge Aures, the former chairwoman of the supervisory board. The majority of the votes of 75% required for the removal of Inge Aures was narrowly missed with 69%. of 75% was not achieved. In September, Aures then announced that she was withdrawing from the supervisory board. The Supervisory Board currently consists of seven people.

Virtual extraordinary meeting of representatives on November 25th, 2020


The virtual extraordinary meeting of representatives took place on November 25, 2020. This meeting was carried out under the supervision of attorney Karl-Christian Schmitt-Walter from VdW Bayern. Due to the COVID-19 pandemic, the board of the building cooperative Kulmbach und Umgebung eG decided to hold this extraordinary meeting of representatives as a virtual meeting in writing.


On November 17, 2020, the election documents were sent to the 53 representatives of the building cooperative.


The representatives of the cooperative were asked to vote on two points by 12 noon on November 25, 2020.

The feedback from the representatives entitled to vote was exceptionally high. The turnout was 81%, as high as we have never seen before at a meeting of representatives. Thank you very much for the great participation in this gathering!


Determination of the specific number of supervisory board mandates


According to § 24 of our articles of association, the supervisory board consists of at least three people, but the representative assembly can have one

specify a higher number.


The number of members of the Supervisory Board is to be increased to nine.


A total of 41 representatives voted for YES, two representatives for NO!


With this, the representatives approved an increase in the number of members of the Supervisory Board to nine people with a majority in accordance with the Articles of Association.

Elections to the supervisory board based on the proposed candidates


Six candidates made themselves available for election to the supervisory board! Whoever has received more than half of the valid votes cast is elected. 43 voting forms were received by the cooperative.

With the majority of votes in accordance with the Articles of Association, in the first ballot (Section 34, Paragraph 6, Articles of Association), Messrs. Alexander Hübner, Andreas Meister, Gerhard Götz, Ernst Goldberg, Bernd Schwemmlein and Thomas Seidel were elected as members of the Supervisory Board. All elected persons approved your election to the supervisory board!

The annual financial statements and the annual report for the year 2019 including the opinion of the supervisory board and the report of the management board as well as the summarized audit result are available for inspection by the members in the building cooperative's office from Tuesday, November 3rd, 2020 until the day of the representatives' meeting.

Proposals from members for the election of new members of the Supervisory Board must be submitted to the cooperative by November 16, 2020 with the consent and a short vita of the proposed candidate.

That was the 49th meeting of representatives

The chairwoman of the supervisory board of the BG, Inge Aures, invited to the 49th ordinary meeting of representatives on June 3rd, 2019 in the Gründla. 36 representatives accepted this invitation. This meeting also ended the term of office of the representatives who have been in office since 2014. In the election of representatives in spring this year, 53 new representatives were elected. The event started with a "trailer" of the film for our 100th anniversary, which will take place next year.

After the welcome by the chairwoman of the supervisory board, Inge Aures, the executive board of BG, Udo Petzoldt, reported on the past financial year.

Last year more than 100 apartments were renovated and 79 bathrooms were renewed. The new building projects in Hollergasse are progressing, the property in Jägerndorfer Straße 2 + 4 has been modernized. The building cooperative continues to stick to its philosophy of providing its tenants with high-quality living space. Almost five million euros were invested last year, of which almost 2.5 million euros went into modernization and renovation. 1.7 million euros were invested in the new building projects in Hollergasse 5, 7 and 27.


The proportion of modern heating systems has now risen to 67%.


The building cooperative was able to book a balance sheet profit of 335,560.38 euros last year. The chairwoman of the supervisory board, Aures, proposed a dividend of 1.5% to the meeting. 30,146.55 euros were distributed to the members of the cooperative. The actions of the board of directors and the supervisory board were approved by the meeting of representatives for the past financial year.

The Supervisory Board members Inge Aures, Karin Rätke and Helmut Heinrich resigned from the Supervisory Board at regular intervals. All three candidates were proposed again for the Supervisory Board from the representative assembly and were also re-elected. All three candidates stood for re-election and accepted the election. The new term of office for the newly elected members of the Supervisory Board runs until the representatives' meeting in 2025.

Finally, the chairwoman Inge Aures thanked the representatives for the very good and constructive cooperation over the past five years.
